Why do I need both Form 1120 and Form 5472?

As a foreign-owned single-member LLC (disregarded entity), the IRS requires you to file Form 5472 to report transactions with foreign related parties. However, Form 5472 cannot be filed alone — it must be attached to a Form 1120 "pro forma" (a simplified version that just carries your Form 5472). Our wizard generates both forms together.

What if my LLC had no income or transactions this year?

What's the penalty for not filing Form 5472?

The IRS imposes a $25,000 penalty for each Form 5472 filed late, incomplete, or inaccurate. This penalty applies per form, per year. If you have multiple years unfiled, penalties can stack quickly. That's why timely, accurate filing is critical.

It depends on your tax residency status. If you're a "resident alien" (you have a green card OR pass the IRS substantial presence test), you do NOT need to file Form 5472 — you're treated as a US person for tax purposes. Only "nonresident aliens" (foreign persons who don't meet either test) must file. If unsure, consult a tax professional about your residency status.

Do I need an EIN to file?

Yes. Your LLC must have an Employer Identification Number (EIN) before you can file Form 5472. If you don't have one, you can apply via IRS Form SS-4 by mail or fax (online application is not available for foreign owners without SSN/ITIN). Our wizard will guide you through what's needed.

Can penalties be reduced or waived?

In some cases, the IRS may consider "reasonable cause" for penalty relief — for example, honest misunderstanding of requirements or reliance on professional advice. However, this requires a written request and is not guaranteed. Additionally, if you fail to file after IRS notification, additional $25,000 penalties can accumulate for each 30-day period. There is no maximum cap, so timely filing is critical.
